Terms & Conditions

Please read these terms carefully before using the Tickitz platform, APIs, SDKs, or any related services.

These Terms govern your use of all Tickitz products including the REST API, SDKs, dashboard, and hosted services. By using anything Tickitz, you're agreeing to these terms. If you're using Tickitz on behalf of an organization, you're agreeing on their behalf. Questions? Email legal@tickitz.io.

Section 01

Acceptance of Terms

By accessing or using any part of the Tickitz platform — including but not limited to the web application at tickitz.io, the REST API, any official SDK or client library, webhooks, the dashboard, or any documentation published by Tickitz — you ("User", "you", "your") agree to be legally bound by these Terms and Conditions ("Terms"), our Privacy Policy, and any additional guidelines, policies, or rules posted on the platform, all of which are incorporated by reference.

If you are entering into these Terms on behalf of a company, organization, or other legal entity ("Organization"), you represent that you have authority to bind that entity and its affiliates to these Terms. In that case, "you" and "your" will refer to both you individually and the Organization.

If you do not agree with any part of these Terms, you must not access or use the Tickitz platform. Continued use of the platform after any modification to these Terms constitutes your acceptance of the modified Terms.

Tickitz reserves the right to update these Terms at any time. We will endeavour to provide reasonable notice of material changes by email or by posting a notice on the platform. Your continued use after the effective date of any modification will constitute your acceptance.

Section 02

Definitions

The following definitions apply throughout these Terms:

  • "Platform" refers to the Tickitz web application, dashboard, APIs, SDKs, documentation, and all related services provided by Tickitz.
  • "API" refers to the Tickitz REST API and any programmatic interface provided by Tickitz.
  • "SDK" refers to any official software development kit, library, or package published by Tickitz (e.g. @tickitz/sdk).
  • "API Key" refers to the secret credentials issued to you to authenticate API requests.
  • "Event" refers to a ticketed event created through the Platform.
  • "Booking" refers to a reservation or purchase of one or more tickets for an Event.
  • "Ticket" refers to the digital ticket issued upon confirmed Booking, including the associated QR code.
  • "Content" refers to any data, text, files, images, or other material uploaded to or processed through the Platform.
  • "Tickitz", "we", "us", "our" refers to Tickitz Inc., the company operating the Platform.
  • "Attendee" refers to an end customer who holds a Ticket to an Event.
  • "Organization Plan" refers to a paid subscription tier (Starter, Pro, or Enterprise) as described on the Pricing page.
Section 03

Account Registration & Eligibility

3.1 Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Platform. By creating an account, you represent and warrant that you meet these requirements.

3.2 Account Creation

To access most Platform features, you must register for an account by providing accurate, current, and complete information. You agree to keep this information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 One Account Per User

You may not create multiple accounts for the purpose of circumventing usage limits, rate limits, billing, or any other restriction. Organizations may have multiple users ("seats") under a single Organization account on paid plans.

3.4 Account Security

You agree to notify Tickitz immediately at security@tickitz.io if you become aware of any unauthorized use of your account or any security breach. Tickitz will not be liable for any loss arising from unauthorized account access that you failed to report promptly.

3.5 Business Accounts

If you register as or on behalf of a business, the organization is responsible for all activity conducted through the account, including acts and omissions of its employees, contractors, and agents who have been granted access.

Section 04

Use License & Restrictions

4.1 License Grant

Subject to your compliance with these Terms and payment of applicable fees, Tickitz grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your lawful internal business purposes.

4.2 SDK License

The Tickitz SDK (@tickitz/sdk) and any other open-source packages published under the Tickitz GitHub organization are licensed under the MIT License unless otherwise stated in the relevant repository. Use of open-source packages is additionally governed by the terms of the applicable open-source license.

4.3 Restrictions

You may not, and you may not permit others to:

  • Copy, modify, create derivative works of, or distribute any part of the Platform (except as expressly permitted by applicable open-source licenses)
  • Reverse engineer, decompile, disassemble, or attempt to derive source code from any closed-source components of the Platform
  • Sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Platform or any API access
  • Use the Platform to build a competing product or service
  • Use the Platform in any manner that could disable, overburden, damage, or impair the service
  • Use automated scripts, bots, scrapers, or crawlers to access or extract data from the Platform outside of the documented API
  • Circumvent, disable, or otherwise interfere with security or rate-limiting features
  • Remove or alter any copyright, trademark, or other proprietary notices
  • Access the Platform if you have been previously banned by Tickitz
Fair Use

Building a wrapper, proxy, or intermediary layer around the Tickitz API and selling API access to third parties as a standalone product without a specific reseller agreement is not permitted. If you're building a platform-on-platform product, contact us at partnerships@tickitz.io.

Section 05

API & SDK Usage

5.1 Rate Limits

API usage is subject to rate limits based on your plan tier. Exceeding rate limits will result in 429 Too Many Requests responses. Tickitz reserves the right to throttle or suspend API access for accounts that consistently exceed limits or that Tickitz believes are abusing the service.

5.2 Versioning & Deprecation

Tickitz maintains API versioning (e.g. /v1/, /v2/) to provide stability. We commit to providing at least 12 months of deprecation notice for breaking changes to stable API versions. Beta endpoints (indicated by /beta/) may change without notice.

5.3 Webhooks

Webhook payloads are signed with an HMAC-SHA256 signature using your webhook secret. You are responsible for validating this signature before processing any webhook payload. Tickitz will retry failed webhook deliveries up to 5 times with exponential back-off (delays of 1m, 5m, 30m, 2h, 8h). After 5 failed attempts, the webhook delivery will be marked as failed and no further retries will occur.

5.4 SDK Updates

We strongly recommend keeping your SDK version up to date. While we maintain backward compatibility within major versions, security patches and bug fixes are only released on the latest minor version. Tickitz will not provide support for SDK versions that are more than two major versions behind the current release.

5.5 Acceptable Use of QR & Check-in

The QR check-in system is designed for use at live events. You agree not to use the check-in API for surveillance, unauthorized tracking of individuals, or any purpose other than verifying legitimate Ticket holders at your authorized Events.

Section 06

Subscriptions, Billing & Payments

6.1 Subscription Plans

Tickitz offers Free, Starter, Pro, and Enterprise plans as detailed on our Pricing page. Paid plans are billed monthly or annually in advance. Annual billing is offered at a discount compared to monthly billing.

6.2 Payment Processing

All payments are processed by a third-party payment provider (currently Stripe). By providing your payment details, you authorize Tickitz and Stripe to charge your payment method for applicable fees. Your payment information is never stored on Tickitz servers.

6.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. You will receive a reminder email at least 7 days before annual plan renewals. You may cancel your subscription at any time via the Dashboard; cancellation takes effect at the end of the current billing period.

6.4 Price Changes

Tickitz may change subscription prices at any time. We will provide at least 30 days' written notice of price increases. Continued use of the Platform after the effective date of a price change constitutes your acceptance of the new price.

6.5 Refunds

Monthly plan fees are non-refundable. Annual plan fees are refundable on a pro-rata basis within 14 days of initial purchase or annual renewal, provided that your usage during the period has not exceeded the Free tier limits. Refund requests must be submitted to billing@tickitz.io. Enterprise contracts are governed by their separate agreement and may have different refund terms.

6.6 Taxes

All fees are exclusive of applicable taxes (including GST, VAT, and sales tax). Where required by law, Tickitz will collect and remit applicable taxes. If you are a tax-exempt organization, provide a valid exemption certificate before your first payment.

6.7 Overdue Payments

If a payment fails, Tickitz will attempt to charge your payment method up to three times over a 7-day period. If payment remains overdue after this period, your account may be downgraded to the Free tier or suspended. Suspended accounts retain data for 60 days, after which data may be permanently deleted.

6.8 Usage-Based Overages

If your booking volume exceeds your plan's monthly limit, you will be charged overage fees at the per-booking rate for your plan tier. Overage charges are billed at the end of each calendar month. You may set spending limits in the Dashboard to prevent unexpected charges.

Section 07

Free Tier

The Free tier is provided for evaluation, development, and low-volume production use. The following additional conditions apply to Free tier accounts:

  • Free tier accounts are limited to 1,000 bookings per calendar month. Overage bookings will be rejected with a 402 Payment Required error until the next month begins or until you upgrade.
  • Tickitz branding may be present on hosted ticket pages and emails generated for Free tier accounts.
  • Free tier accounts receive community support only (GitHub Discussions, Discord). No email or ticket-based support SLA applies.
  • Free tier webhook delivery is best-effort; SLA guarantees on delivery times do not apply.
  • Tickitz reserves the right to modify or discontinue the Free tier at any time with 60 days' notice.
  • Using the Free tier commercially at scale (i.e. in a production environment serving paying customers with volumes approaching the limit each month) is acceptable, provided you upgrade before consistently hitting limits.
Section 08

Intellectual Property

8.1 Tickitz IP

The Platform and all of its components — including but not limited to the software, source code (except open-source components), documentation, design, trademarks, logos, and brand elements — are and remain the exclusive property of Tickitz Inc. or its licensors. Nothing in these Terms transfers any ownership of Tickitz IP to you.

8.2 Your Content

You retain all ownership rights in the Content you upload or transmit through the Platform (event names, descriptions, images, customer data, etc.). By submitting Content to the Platform, you grant Tickitz a worldwide, royalty-free, non-exclusive license to host, store, transmit, display, and process that Content solely to the extent necessary to provide the Platform services to you.

8.3 Feedback

If you submit feedback, suggestions, or ideas about the Platform ("Feedback"), you grant Tickitz a perpetual, irrevocable, royalty-free license to use, incorporate, and commercialize that Feedback without restriction and without any obligation to you.

8.4 Trademarks

The "Tickitz" name, logo, and related marks are trademarks of Tickitz Inc. You may not use them without prior written permission, except as necessary to reference Tickitz in factually accurate statements (e.g. "Powered by Tickitz").

Section 09

Data & Privacy

9.1 Data Processing

Your use of the Platform necessarily involves the processing of personal data relating to your customers (Attendees). You are the data controller for that personal data; Tickitz acts as a data processor on your behalf. By using the Platform, you enter into a Data Processing Agreement ("DPA") with Tickitz, available at tickitz.io/legal/dpa.

9.2 Privacy Policy

Tickitz's collection and use of information about you is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the data practices described in the Privacy Policy.

9.3 Data Retention

Event, Booking, and Ticket data is retained for the duration of your active account and for 90 days after account termination, after which it is permanently deleted from production systems. Anonymized aggregate analytics data may be retained indefinitely. You may request earlier deletion of personal data by contacting privacy@tickitz.io.

9.4 Data Portability

You may export your data at any time via the API (GET /v1/events/:id/bookings?format=csv) or from the Dashboard. Tickitz will not hold your data hostage; if you choose to leave, your export rights remain available for 90 days after account termination.

9.5 Your Obligations

You are responsible for ensuring you have all necessary rights and consents to collect and process Attendee data through the Platform, and for maintaining an appropriate privacy policy that discloses your use of Tickitz to your end users. You may not use the Platform to process special categories of personal data (health data, biometric data, etc.) without a separate written agreement with Tickitz.

Section 10

Security & API Key Management

10.1 Your Responsibility

API Keys are sensitive credentials that grant full access to your Tickitz account. You are solely responsible for keeping your API Keys secret. Do not commit API Keys to version control, embed them in client-side code, or share them with unauthorized parties.

10.2 Key Storage Best Practices

  • Store keys in environment variables or a secrets manager (e.g. AWS Secrets Manager, HashiCorp Vault, Doppler)
  • Use separate keys for development, staging, and production environments
  • Grant the minimum scope required for each key (principle of least privilege)
  • Rotate keys periodically, and always rotate immediately after any suspected exposure

10.3 Key Compromise

If you believe an API Key has been compromised, revoke it immediately via the Dashboard and generate a replacement. You should also audit your API logs for unauthorized activity and notify Tickitz at security@tickitz.io. Tickitz will not be liable for any damage, loss, or charges resulting from unauthorized use of a key that was exposed through your negligence.

Critical Security Notice

Tickitz will never ask for your API Key via email, support ticket, or chat. Any communication requesting your API Key is a phishing attempt. Report it to security@tickitz.io immediately.

10.4 Vulnerability Disclosure

If you discover a security vulnerability in the Platform, please report it responsibly to security@tickitz.io. We ask that you give us a reasonable time to investigate and remediate before public disclosure. Tickitz operates a responsible disclosure program and may offer recognition or bounties for valid reports at its discretion.

10.5 Tickitz's Security Obligations

Tickitz implements industry-standard security measures including encryption in transit (TLS 1.2+) and at rest (AES-256), regular penetration testing, SOC 2 Type II compliance, and audit logging. Details are available at tickitz.io/security.

Section 11

Prohibited Conduct

You agree not to use the Platform to:

  • Violate any applicable local, national, or international law or regulation
  • Create fraudulent events, issue fraudulent tickets, or facilitate ticket scalping beyond any applicable legal restrictions
  • Engage in money laundering or process payments for illegal goods or services
  • Collect payment for events you do not intend to hold, or fail to refund Attendees when an event is cancelled
  • Impersonate any person or entity, or misrepresent your affiliation with a person or entity
  • Transmit spam, bulk unsolicited communications, or harassing messages to Attendees
  • Upload or transmit viruses, malware, or any other malicious or destructive code
  • Attempt to gain unauthorized access to Tickitz systems, other user accounts, or any third-party systems via the Platform
  • Conduct load testing, penetration testing, or vulnerability scanning against the Platform without prior written consent from Tickitz
  • Use the fraud detection module to discriminate against individuals on the basis of race, religion, national origin, gender, sexual orientation, disability, or any other protected characteristic
  • Manipulate or artificially inflate ticket demand, queue positions, or Booking counts
  • Violate the privacy of Attendees or process their data in ways they have not consented to

Violations of this section may result in immediate account suspension, forfeiture of fees, and may be reported to relevant law enforcement authorities.

Section 12

Uptime, SLA & Maintenance

12.1 Uptime Commitment

"Uptime" is calculated as the percentage of minutes in a calendar month during which the core API endpoints are available and returning correct responses. Scheduled maintenance, force majeure events, and outages caused by third-party providers or your own infrastructure are excluded from SLA calculations.

12.2 Scheduled Maintenance

Tickitz will provide at least 48 hours' notice for scheduled maintenance that may impact service availability. Maintenance is typically scheduled between 02:00–04:00 UTC on Sundays. Emergency maintenance may be performed with less notice when required to protect service integrity.

12.3 Incident Communication

Status updates during incidents are published in real time at status.tickitz.io. You may subscribe to status page notifications via email or RSS. Post-incident reports for significant outages are published within 5 business days.

12.4 Credit Claims

To claim SLA credits, submit a request to support@tickitz.io within 30 days of the incident with the affected date/time range and impact description. Approved credits are applied to your next invoice and are not redeemable for cash.

Section 13

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TICKITZ EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Any warranty that the Platform will be uninterrupted, timely, secure, or error-free
  • Any warranty that the results obtained from use of the Platform will be accurate or reliable
  • Any warranty regarding the quality of any products, services, information, or other material obtained through the Platform

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the above exclusions apply only to the extent permitted by law. This disclaimer does not affect your statutory rights as a consumer where applicable.

Section 14

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TICKITZ, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or business opportunities
  • Costs of substitute products or services
  • Any damages arising from unauthorized access to or alteration of your data
  • Any damages arising from your failure to secure your API Keys or account credentials

TICKITZ'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO TICKITZ IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) USD $100.

These limitations apply regardless of the legal theory on which the claim is based (contract, tort, negligence, strict liability, or otherwise), even if Tickitz has been advised of the possibility of such damages. Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages, so the above limitations may not apply to you.

Section 15

Indemnification

You agree to defend, indemnify, and hold harmless Tickitz and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Platform in a manner not authorized by these Terms
  • Your Content, including any claim that it infringes a third party's intellectual property rights
  • Your violation of any applicable law or third-party rights
  • Any dispute between you and an Attendee arising from an Event you organized
  • Your failure to cancel an Event and refund Attendees as required by applicable law or your own event policies

Tickitz reserves the right to assume exclusive control of any matter subject to indemnification by you, at your expense. You agree to cooperate with Tickitz's defense of such claims.

Section 16

Termination

16.1 Termination by You

You may terminate your account at any time by going to Dashboard → Settings → Account → Delete Account. Termination is effective immediately. You will retain access for the remainder of any prepaid subscription period; no prorated refunds will be issued for unused prepaid periods unless required by applicable law or §6.5.

16.2 Termination by Tickitz

Tickitz may suspend or terminate your account at any time, with or without notice, for:

  • Material breach of these Terms that is not cured within 10 days of written notice
  • Any violation of §11 (Prohibited Conduct)
  • Non-payment of fees after the grace period described in §6.7
  • Fraudulent, abusive, or illegal activity
  • Any conduct that Tickitz reasonably believes poses a legal, security, or reputational risk

16.3 Effect of Termination

Upon termination, your license to use the Platform immediately ceases. Tickitz will retain your data for 90 days following termination to allow you to export it. After 90 days, all data may be permanently deleted. Sections §8.1, §8.3, §13, §14, §15, §17, and §19 survive termination.

Section 17

Governing Law & Dispute Resolution

17.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting Tickitz at legal@tickitz.io. Tickitz will attempt in good faith to resolve the dispute within 30 days. This informal resolution requirement does not apply to claims for injunctive relief or enforcement of intellectual property rights.

17.3 Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. Arbitration will take place in Wilmington, Delaware. The arbitrator's award may be entered as a judgment in any court of competent jurisdiction.

17.4 Class Action Waiver

YOU AND TICKITZ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

17.5 Exceptions

Notwithstanding the arbitration clause, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending resolution of a dispute.

Section 18

Changes to Terms

Tickitz reserves the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page
  • Send an email notification to the address on your account at least 14 days before the changes take effect
  • Display a banner in the Dashboard for 30 days following the change

Your continued use of the Platform after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and may terminate your account before the effective date.

For changes required by law or to address security issues, we may update the Terms with less notice or with immediate effect.

Section 19

Miscellaneous

19.1 Entire Agreement

These Terms, together with the Privacy Policy, DPA, and any applicable Order Form or Enterprise Agreement, constitute the entire agreement between you and Tickitz concerning the Platform and supersede all prior agreements, representations, and understandings.

19.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

19.3 Waiver

Tickitz's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if it is in writing and signed by an authorized representative of Tickitz.

19.4 Assignment

You may not assign or transfer these Terms or any rights hereunder without Tickitz's prior written consent. Tickitz may assign these Terms, including in connection with a merger, acquisition, sale of assets, or by operation of law, without restriction. Any attempted assignment in violation of this section is void.

19.5 Force Majeure

Neither party will be liable for any failure or delay in performance under these Terms arising from circumstances beyond that party's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, government actions, labour disputes, widespread internet disruptions, or third-party infrastructure failures.

19.6 Notices

Notices to Tickitz must be sent by email to legal@tickitz.io with a copy sent by post to: Tickitz Inc., Legal Department, 651 N Broad St, Suite 201, Middletown, DE 19709, USA. Tickitz may send notices to you at the email address associated with your account; it is your responsibility to keep this address current.

19.7 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between you and Tickitz. You and Tickitz are independent contractors.

19.8 Language

These Terms are written in English. Any translation is provided for convenience only. In the event of any inconsistency, the English version governs.
